Glonghui April 26 丨 China Parenting Network (01736.HK) announced that on April 26, 2024, the company entered into a placing agreement with the placing agent, pursuant to which and subject to its terms and conditions, the company agreed to appoint the placing agent, and the placing agent agreed to act as a placing agent as the companyabumagelitegreen, subject to the terms and conditions set out in the placing agreement, on a best efforts basis, procure the placees to purchase up to 57 per cent at the placing priceabumagelitegreen, 610,390 placing shares.

The number of placing shares is equivalent to approximately 16.7% of the total number of shares issued as enlarged after the completion of the placing (assuming that there will be no change in the total number of shares issued except for the issuance of placing shares by the company during the period from the announcement date to the completion of the placing). The placing price represents a discount of approximately 11.75% to the closing price of HK$0.057 per share of the Shares as quoted on the Stock Exchange on the date of the placing agreement; the net proceeds (after deducting all applicable costs and expenses, including commissions and levies) will be approximately HK$2.8 million.
